Terms of Service
The agreement between you and Digitalwebtonics when you use this site, hire us for a project, or buy one of our products.
The short version
- Custom projects run on the written proposal you approve. Where it differs from these terms, the proposal wins.
- Once you’ve paid in full, you own the custom work we built for you.
- Plugins and digital products come with a license for the number of sites and the period shown at checkout.
- Subscriptions renew each period until you cancel. No contracts, no cancellation fees.
- Refunds follow our Refund Policy.
About these terms
These terms are an agreement between you and Digitalwebtonics, a software studio based in Nigeria and run by Emmanuel Ezema (“we”, “us”, “our”). They apply when you browse digitalwebtonics.com, ask us for a quote, hire us for a project, or buy a product or subscription from us. By doing any of those, you accept these terms.
If you accept on behalf of a business, you confirm you have the authority to bind it, and “you” means that business. Our Privacy Policy and Refund Policy form part of these terms.
Using this website
You may browse and share this site for any lawful purpose. Please don’t:
- Try to break, overload, or gain unauthorised access to the site or our systems.
- Send spam, malware, or false information through our forms.
- Copy our content, design, or branding for commercial use without our permission.
We work to keep the site accurate and available, but we can’t promise it will always be error free or online.
Client projects
Proposals
Every custom project (web, mobile, desktop, automation, SaaS, plugin, or integration) starts with a written proposal that sets out scope, price, timeline, and payment schedule. Once you approve it, it becomes part of your agreement with us. If the proposal and these terms disagree, the proposal wins.
Payment
Unless your proposal says otherwise, we take a deposit before work begins and the balance at agreed milestones or before final handover. Invoices are due by the date shown on them. We may pause work on overdue accounts until they’re settled.
Changes to scope
If you want something the proposal doesn’t cover, we’ll quote it before we start. We’ll always tell you how a change affects the price and timeline before you approve it.
Your part
Projects move at the speed of feedback. You agree to give us the content, access, and decisions we need on time. If a project is on hold on your side for more than 30 days, we may invoice for the work completed so far and schedule the rest when you’re ready.
Ownership
Once you’ve paid in full, you own the custom code, designs, and content we create specifically for your project. We keep ownership of our pre-existing tools, libraries, and know-how, and give you a permanent, royalty-free license to use any of them that are built into your project. Open-source and third-party components stay under their own licenses.
Portfolio
We may show finished work in our portfolio and name you as a client, unless you ask us not to or we’ve agreed to keep the project confidential.
Bug fixes after handover
For 30 days after handover, we fix, free of charge, any bug that stops the work from doing what the proposal describes. After that, fixes, new features, and changes needed because of third-party updates are covered by a support plan or quoted separately.
Subscriptions and managed services
Some services, such as Lead Recovery, and some products, such as RevBoostNow, are billed as subscriptions.
- Billing. Subscriptions are charged in advance for each billing period, usually monthly, at the price shown when you sign up.
- Cancelling. Cancel at any time by emailing us. Cancellation takes effect at the end of the period you’ve already paid for, and you won’t be charged again. There are no contracts and no cancellation fees.
- Price changes. We’ll email you at least 30 days before a new price applies to your subscription.
- Free pilots and trials. Some offers, such as the Lead Recovery 14-day pilot, are free for a set period. We won’t charge you unless you choose to continue once it ends. Any guarantee attached to an offer applies as described on that offer’s page and in our Refund Policy.
Plugins, extensions, and digital products
- Your license. Each purchase gives you a non-exclusive license to use the product on the number of sites, and for the period, shown at checkout. During that period you get updates and support.
- WordPress products. WordPress plugins and themes we sell are distributed under the GNU General Public License, version 2 or later, in line with WordPress itself. Your license key covers access to updates, support, and any premium services.
- Other products. Unless a product says otherwise, it is licensed for your own use. You may not resell, sublicense, or redistribute it.
- Renewals and expiry. If your license renews automatically, you can turn renewal off at any time before the renewal date. Unless the product page says otherwise, the product keeps working after a license expires; you just stop receiving updates and support until you renew.
- License checks. Products contact our license server to validate your key and deliver updates, as described in our Privacy Policy.
- Compatibility. Each product page lists the platform versions we support. We aim to keep products working with new releases, but we can’t guarantee compatibility with every theme, plugin, or custom setup.
Payments
Prices are charged in the currency shown at checkout, such as US dollars, Australian dollars, or Nigerian naira. Payments are processed securely by our payment providers, including Flutterwave. We never see or store your full card details.
Unless checkout says otherwise, prices don’t include taxes, bank charges, or currency conversion fees that your bank or card issuer may add. If a payment fails or is reversed, we may suspend the related service, license, or subscription until it’s resolved.
Refunds
Refunds are covered by our Refund Policy, which explains what’s refundable, the time limits, and how to ask.
Products on their own websites
RevBoostNow (revboostnow.com), TonicsTools (tonicstools.com), and Voxitron (voxitron.com) run on their own websites. Where those sites publish their own terms, those terms apply to anything you buy or do there, and these terms fill any gaps.
Warranties and liability
Apart from what we expressly promise in these terms or in your proposal, our website, services, and products are provided “as is”, and we exclude implied warranties as far as the law allows.
As far as the law allows, we aren’t liable for indirect or consequential losses such as lost profits, lost revenue, lost data, or business interruption. Our total liability to you for any claim is limited to the amount you paid us for the service or product concerned in the 12 months before the claim arose.
Nothing in these terms limits liability that the law doesn’t allow us to limit, such as liability for fraud, or removes rights you have as a consumer where you live. Customers in Australia, for example, keep their rights under the Australian Consumer Law.
Suspension and termination
We may suspend or end your access to a service or license if you seriously or repeatedly break these terms, don’t pay, or use our products for anything unlawful or abusive. Where it’s reasonable, we’ll warn you first and give you a chance to put things right. You can stop using our services at any time; for subscriptions, see section 04.
Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If something goes wrong, please contact us first: most problems are solved by email within a few days. If we can’t resolve it together, the courts of Nigeria have jurisdiction. If you’re a consumer, you may also be able to bring a claim in the courts where you live.
Changes to these terms
We may update these terms from time to time. The version on this page, with the date at the top, is the one that applies. Changes don’t affect a proposal you’ve already approved or a period you’ve already paid for.
